1. Scope

These terms apply to orders for custom-made products placed with EnjoyGroup Sp. z o.o. ("SouveniQ") by business customers. They do not apply to consumers. Deviating terms of the customer apply only if accepted in writing.

2. Quotes and orders

Quotes are valid for 30 days unless stated otherwise. An order is binding when the customer confirms the quote in writing (email suffices) and SouveniQ confirms the order. Prices are net in euro, excluding VAT, packaging as specified and delivery as specified.

3. Artwork and approvals

The customer approves artwork, mock-ups and the pre-production sample in writing. Production starts only after approval. Changes after approval may incur costs and extend lead times. The customer confirms that it holds the rights to any logos, images or texts it supplies and indemnifies SouveniQ against third-party claims.

4. Intellectual property

Artwork created by SouveniQ for the customer passes to the customer upon full payment of the order or the design invoice. SouveniQ may show such artwork as visualisations of its work unless the customer objects in writing. SouveniQ does not resell customer-specific designs.

5. Quantities and tolerances

Custom production may deviate by ±5 % from the ordered quantity; the delivered quantity is invoiced. Minor colour and dimension deviations within industry tolerance are not defects.

6. Payment

Unless agreed otherwise: 50 % on order confirmation, 50 % before dispatch. Agreed payment terms for institutions and repeat customers: 30 days from invoice. Late payment bears statutory interest.

7. Lead times and delivery

Lead times run from approval of the sample and receipt of the deposit. Delivery is DAP (Incoterms 2020) to the agreed address inside the EU unless stated otherwise. Risk passes on delivery. Transport damage must be noted on the carrier's document and reported within 5 days.

8. Complaints and warranty

Defects must be reported within 14 days of delivery with photos and batch data. SouveniQ will replace or credit defective pieces. Further claims are limited to the order value except in cases of intent or gross negligence.

9. Cancellation

Orders may be cancelled before artwork approval free of charge; after that, costs incurred (design, samples, tooling, materials) are invoiced. Cancellation after production start is not possible.

10. Compliance

SouveniQ supplies products that comply with the EU regulations stated in the quote and provides the related documentation. The customer is responsible for compliance with requirements of the specific place of sale that were not communicated to SouveniQ.

11. Law and jurisdiction

Polish law applies. The courts competent for the seat of SouveniQ have jurisdiction; SouveniQ may also sue at the customer's seat. Last updated: 17 October 2026. TODO: review by legal counsel.
